About the Department
The NC State University Office of General Counsel provides, manages and coordinates all legal services for the university in a collegial, responsive and professional manner. The office provides legal and risk management advice on a wide variety of matters to the Board of Trustees, the Chancellor, senior officers, other university administrators, and faculty and staff who are acting on behalf of the university. These matters include, but are not limited to, employment, student affairs, athletics, public records, real property, sponsored programs, intellectual property, purchasing, business transactions, and civil rights. The office represents the university in administrative proceedings before federal and state agencies and coordinates all litigation matters.
Essential Job Duties
Reporting directly to the Vice Chancellor and General Counsel, the Associate General Counsel will engage in a wide-ranging, intellectually challenging, fast-paced and demanding transactional commercial practice. Practice areas will focus on providing legal support and advice in the areas of commercial real estate transactions (including but not limited to long-term ground leases, space leasing, real estate financing, acquisition and disposition and title related matters), public-private partnerships, bond and debt financing, sophisticated and complex business transactions and other general transactional work. Other practice areas may be assigned as needed and as business needs require.

The successful candidate must demonstrate the ability to negotiate and close large, complex commercial transactions and an ability to work effectively and collegially with a small legal team, outside counsel, and a variety of senior-level administrators.

Minimum Education and Experience
J.D. degree from an ABA accredited law school
License to practice law in the State of North Carolina (or eligibility for admission within 12 months of hire)
A minimum of four (4) years or greater of related professional experience.
Other Required Qualifications
Direct experience in complex business transactions, including real estate transactions, acquisitions and dispositions, multi-party contracts for events, space, or purchasing, public-private partnership transactions, and representation of nonprofits and/or associated entities.
Preferred Qualifications
  • Demonstrated strong client-service perspective, strong analytical and problem-solving skills, a keen understanding of the higher education operating environment, deal-making and project management skills, business judgment, and excellent written and oral communication skills.
  • Ability to juggle shifting priorities and multiple, demanding projects.
  • Detail-oriented with organizational proficiency and excellent follow through.
  • Strong interpersonal skills and the ability to work effectively with a wide range of constituencies in a diverse community.
  • Direct experience in real property transactions.
  • Working knowledge of tax law.
  • At least three (3) years’ experience representing large institutional clients (preferably institutions of higher education and/or other non-profits) and/or real estate developers in complex business and/or real estate transactions is preferred. Additional experience representing commercial real estate lenders or structuring public-private partnerships is a plus.
Required License(s) or Certification(s)
Must be licensed to practice law in the State of North Carolina (or eligible for admission within 12 months of hire).
Valid NC Driver’s License required
