Senior Paralegal

Description:

  • Maintain corporate and transaction records;
  • Assist with annual reporting and compliance for corporate entities;
  • Organize board meetings, prepare electronic Board books, draft and prepare minutes, resolutions and written consents and maintain corporate minute books;
  • Prepare and maintain internal committee minutes;
  • Organize contracts files;
  • Assist counsel with preparation of annual reports, proxy statements, D&Os and other miscellaneous corporate matters;
  • Gather and review due diligence materials;
  • Order good standing certificates and certified organizational documents;
  • Provide timely responses to legal requests from internal departments for preparation, review and analysis of legal documents or research of legal issues;
  • Work on special projects and other duties as assigned.

. Requirements:

  • Bachelor’s degree OR Paralegal Certificate AND
  • At least three (3) years of corporate paralegal experience.
  • Notary public preferred.
  • Advanced knowledge of corporate organizational practices;
  • Experience with Microsoft Office Suite and document management systems, particularly Microsoft Teams;
  • Excellent verbal and written communication, listening, interpersonal and organizational skills;
  • Strong attention to detail;
  • Ability to work collaboratively across multiple business units and/or departments;
  • Demonstrated ability to exercise independent judgment and problem-solving skills; and
  • Ability to work in fast-paced, team-oriented environment.
